License agreement (EULA) for WISE-FTP

Since August 2022, AceBIT GmbH, Schleiermacherstr. 10, 64283 Darmstadt, Germany (“AceBIT”) provides the software WISE-FTP (the “Software”) free of charge. By installing or using the Software you agree to the following terms. If you do not agree to these terms, you may not install or use the Software.

1. Subject of the agreement and right of use

AceBIT grants you a simple, non-exclusive, perpetual and free-of-charge right to use the Software on your devices for private and business purposes. No registration and no license key are required.

2. Copyright

The Software is protected by copyright. All rights not expressly granted to you remain with AceBIT. Copyright notices and other proprietary markings must not be removed or altered.

3. Redistribution

You may pass on the unmodified original installation package free of charge. Selling or renting the Software, or bundling it with paid offerings, requires the prior written consent of AceBIT.

4. Modification and decompilation

Modifying, translating or reverse-engineering the Software (decompilation, disassembly) is not permitted except to the extent mandatorily allowed by applicable law (in particular sections 69d, 69e of the German Copyright Act).

5. Support and updates

The Software is provided in its current state (“as is”). There is no entitlement to support, updates, upgrades or bug fixes.

6. Warranty and liability

The Software is provided free of charge. AceBIT is therefore liable only for damage caused by intent or gross negligence, and for fraudulently concealed defects. Liability for injury to life, body or health and liability under the German Product Liability Act remain unaffected. Any further liability is excluded.

7. Previously purchased licenses

For licenses purchased for a fee before August 2022, the contractual terms agreed at the time of purchase continue to apply.

8. Final provisions

This agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Should individual provisions of this agreement be or become invalid, the validity of the remaining provisions remains unaffected. The German version of this agreement is authoritative; translations are provided for information purposes only.
